MOB Mechanical Contracting has acquired NEWES. Both companies, active in the petrochemical industry, are thus joining forces to offer a wider range of services. Hogenhouck m&a assisted MOB in this transaction.
A powerful partnership
MOB (formerly Montage Onderneming Benelux) was founded in 1985. The company has five branches in the Netherlands and Belgium and specializes in welding work on pipes in industrial plants. The daily management is in the hands of director Harold Zuidervaart. MOB has 100 permanent employees and a flexible pool for project scale-up. Sandra and Michael Heumer, children of the founder, remain remotely involved.
NEWES, born out of Stork's rich history, began as Stork Boilers and grew into a specialist in maintenance and replacement of industrial boilers and stoves. Led by director Marco van Straten, NEWES serves the industrial energy sector from Hengelo and Barendrecht. The company has also developed a patented electrolyser for the production of hydrogen.
Joint strength and opportunities for growth
Both companies have a similar size in turnover (€30Mio) and personnel, and with a complementary range of services, MOB and NEWES complement each other excellently. While MOB focuses on the replacement and maintenance of pipes in large industrial plants with its welding specialty, NEWES has specialized in the replacement and maintenance of industrial boilers and stoves. This synergy strengthens the market position of both companies and provides customers with access to a wider range of specialized solutions.
Harold Zuidervaart, director of MOB, on this acquisition: "This is a classic win-win-win situation." The complementarity of our operations allows us to serve the market even better." Marco van Straten adds, "If you just look at competencies and distribution of branch locations, there are a lot of opportunities for exchange and optimization." There are also plenty of opportunities strategically through circularity programs and the growing demand for sustainably produced hydrogen.
Both companies will continue their operations under their own names. "Integration is not a goal, but is not excluded in the future," said Harold Zuidervaart. "For now, this acquisition is aimed at strengthening the joint market positions with a broader range of services."
The M&A Process
Hogenhouck m&a accompanied MOB in this acquisition with Hein Stoops, Margot IJssel de Schepper and Jelle Appels. Hein Stoops, Partner at Hogenhouck m&a, emphasizes the strategic value of this acquisition: "The synergy between MOB and NEWES creates a strong basis for growth and innovation in a dynamic industry. With this acquisition, MOB and NEWES are taking an important step to service a future-proof energy sector full of opportunities through sustainability. It is special to partner with these shareholders and family for the third time on a transaction. It combines M&A with entrepreneurship, which allows us to look beyond just numbers, and optimize value from the different perspectives of company, shareholders and management."
