Parkland Resources, part of the Indofin Group, and Magnus are acquiring the operations of the listed GeoJunxion N.V. Hogenhouck m&a advised Parkland and Magnus in this process.
Parkland Resources, part of the Indofin Group, and Magnus are acquiring the operations of GeoJunxion. The transaction is structured as acquisition of all shares in the sole subsidiary of GeoJunxion N.V. through special purpose vehicle Road Runner B.V. Upon completion of the acquisition, GeoJunxion N.V. will be dissolved and the proceeds of the transaction will be distributed to shareholders.
An extraordinary general meeting of shareholders of GeoJunxion N.V. was held on December 12, 2023, at which approval was given by shareholders for the transaction and the subsequent liquidation and distribution process. On January 15, 2024, Geojunxion and Road Runner B.V. jointly published that the transaction had been completed.
GeoJunxion, a Dutch software company with decades of experience in mapping, operates in the international market for location-aware products and services. The company evolved from a traditional map maker, formerly known as AND International Publishers N.V., to a service provider focused on high-quality, dynamic content and building environmentally conscious applications that enrich safety in everyday life.
